02Definitions

In these Terms of Use, the following terms shall have the meanings set out below:

03Purpose and acceptance of Terms

These Terms of Use define the conditions for accessing and using the PeakySpot Platform, as well as the respective rights and obligations of the Publisher and Users.

Accessing the Platform, creating an account, or submitting Content implies full and unreserved acceptance of these Terms.

Submitting an application video also implies express and irrevocable acceptance of the rights transfer provisions set out in Article 5.

Active acceptance required. The User confirms having read and accepted these Terms by ticking the checkbox provided at the time of form submission. This action constitutes an electronic acceptance equivalent to a signature under Article 1366 of the French Civil Code.

The Platform is accessible to adults (18 years of age or over) or to minors duly authorised by their legal representative. The Publisher reserves the right to request proof of age.

04Platform access and account creation

4.1 Account creation

Creating a Member account is free. The User undertakes to provide accurate, complete and up-to-date information at the time of registration. Any false declaration will result in immediate account suspension.

The User is solely responsible for keeping their login credentials confidential. They undertake to immediately notify the Publisher of any fraudulent use at hello@peakyspot.com.

4.2 Availability

The Publisher endeavours to ensure the Platform is available 24/7 but cannot be held liable for interruptions due to maintenance, technical failures or external causes (force majeure, network outage, etc.).

4.3 Single account

Each User may only create one account. Creating multiple accounts is prohibited and may result in the deletion of all accounts concerned.

05Transfer of rights on video content

Fundamental article. The provisions of this article constitute an essential contractual commitment without which the Publisher cannot accept the application. By submitting a video, the Applicant expressly and irrevocably accepts the terms below.

5.1 Free and permanent transfer

By submitting an application video via the Platform, the Applicant transfers to the Publisher (Les Sept Secrets Production, operator of the PeakySpot brand), on a free, exclusive, irrevocable and permanent basis, all patrimonial copyright in said video, worldwide and for the full legal duration of copyright protection.

The consideration for this transfer consists of free access to the Platform and the opportunity for the Applicant to participate in the PeakySpot Official Testers Programme, in accordance with Article 7 of these Terms.

5.2 Scope of transferred rights

The transfer includes, without limitation, the rights of:

The Applicant warrants to the Publisher that:

In the event of a third-party claim arising from the submitted video, the Applicant undertakes to indemnify the Publisher against all harmful consequences.

5.4 Irrevocability of the transfer

The transfer of rights over the video is permanent and cannot be withdrawn, in accordance with Article L.131-3 of the French Intellectual Property Code, which requires copyright transfers to be made in writing with precisely defined terms. This transfer, actively accepted electronically, constitutes such writing under the law. Once the video has been submitted and the acceptance box ticked, the Applicant cannot demand the withdrawal or restitution of the transferred rights.

5.5 Moral rights

In accordance with Article L.121-1 of the French Intellectual Property Code, the author's moral rights are inalienable. The Applicant therefore retains authorship of their creation. However, they expressly authorise the Publisher not to systematically mention their name when using the video, particularly for editorial or format reasons.

5.6 Image rights

The Applicant expressly authorises the Publisher to use their image as it appears in the submitted video, for the same purposes and under the same conditions as the transfer of patrimonial rights defined above.

06Code of conduct and prohibited content

6.1 General principles

Users undertake to use the Platform in a fair, respectful and lawful manner. Any use contrary to these Terms or public order is prohibited.

It is strictly forbidden to publish, transmit or share on the Platform any Content that is:

Videos published on the Platform must reflect a real and personal experience of the User. The following are in particular prohibited:

07Official Testers Programme (Peakyspoteurs)

7.1 Programme overview

PeakySpot is developing a network of official testers, called Peakyspoteurs, tasked with visiting, testing and evaluating venues (restaurants, hotels, bars, activities, etc.) in France and internationally, and producing short video reviews meeting the Platform's editorial requirements.

7.2 Selection

The selection of Peakyspoteurs is made at the Publisher's discretion, based on the submitted application video and internal qualitative criteria (authenticity, quality of perspective, relevance). The Publisher is under no obligation to select any applicant. Submitting an application creates no right to join the programme.

7.3 Benefits and consideration

The precise terms of remuneration, expense coverage and benefits granted to selected Peakyspoteurs will be set out in a separate individual contract negotiated and signed between the Publisher and each retained Official Tester. These Terms do not constitute a promise of employment or an employment contract.

7.4 Obligations of Official Testers

The selected Peakyspoteur undertakes in particular to:

08Intellectual property

8.1 Publisher's rights

The PeakySpot brand, the domain name peakyspot.com, the logo, visual identity, Platform architecture, and all editorial and technical elements are the exclusive property of Les Sept Secrets Production and are protected by intellectual property law.

Any unauthorised reproduction, representation, modification or exploitation of these elements is strictly prohibited and may result in legal proceedings.

8.2 Users' rights over other content

Except for application videos transferred under Article 5, Users retain copyright over other content they publish on the Platform. However, they grant the Publisher a non-exclusive, worldwide, royalty-free licence to use such content for the purposes of operating and promoting the Platform.

09Personal data protection — GDPR

9.1 Data controller

The data controller is Les Sept Secrets Production, 3 Rue de l'École, 69140 Rillieux-la-Pape — contact : hello@peakyspot.com.

9.2 Data collected

In connection with use of the Platform, the Publisher collects the following data:

Processing is based on: (i) performance of the contract formed by these Terms; (ii) the User's consent; (iii) the Publisher's legitimate interests; (iv) compliance with legal obligations.

9.5 Retention periods

Important — Videos and personal data. Personal data (name, email) may be subject to the right to erasure (see 9.6). However, submitted videos, having been permanently transferred to the Publisher under Article 5, are not subject to the right to erasure of personal data under GDPR, as they constitute creative content subject to a transfer agreement rather than personal data in the strict sense.

9.6 Users' rights

Under GDPR and the French Data Protection Act, every User has the following rights regarding their personal data (excluding transferred videos):

These rights may be exercised by email to hello@peakyspot.com. A response will be provided within one month. In the event of a dispute, the User may contact the CNIL (French Data Protection Authority) at www.cnil.fr, or the supervisory authority in their country of residence.

9.7 Cookies

The Platform uses only strictly necessary technical cookies for its operation. No advertising or third-party tracking cookies are placed without prior consent.

9.8 Transfers outside the EU

Videos are hosted on Bunny.net servers (European CDN). Confirmation emails are handled by Brevo (Sendinblue SAS, a French company). These providers offer appropriate GDPR compliance guarantees.

10Right of withdrawal and account deletion

10.1 Statutory right of withdrawal

As PeakySpot is an entirely free service for the User, the statutory 14-day right of withdrawal under Article L.221-18 of the French Consumer Code for distance contracts with consumers does not apply in its usual form. As no payment is taken, there is no payment to refund.

10.2 Account deletion and personal data

Any Member may request account deletion at any time by contacting hello@peakyspot.com. Deletion results in:

10.3 Status of videos upon account deletion

Account deletion does not affect the transfer of rights over submitted videos. In accordance with Article 5 of these Terms, rights over application videos have been permanently and irrevocably transferred to the Publisher. Account deletion cannot therefore be invoked to demand removal of videos from the Platform or any other medium on which they may have been broadcast.

11Liability

11.1 Publisher's liability

The Publisher endeavours to ensure the accuracy and currency of information on the Platform but cannot guarantee the completeness or reliability of reviews published by Users. The Publisher's liability cannot be engaged in the event of:

11.2 Users' liability

Each User is solely responsible for the Content they publish and the consequences of its distribution. The Publisher, as a hosting provider under the French Digital Economy Trust Act of 21 June 2004, cannot be held liable for content published by Users, unless it has been notified of manifestly unlawful content and has failed to act promptly to remove it.

12Moderation and sanctions

12.1 Moderation

The Publisher reserves the right to moderate, before or after publication, any Content on the Platform. Application videos may be reviewed before being published on the public Platform.

12.2 Reporting

Any User may report Content they believe breaches these Terms by emailing hello@peakyspot.com with the subject "Content report", specifying the nature of the alleged breach.

12.3 Sanctions

In the event of a breach of these Terms, in particular the publication of unlawful Content, the Publisher may, without notice or compensation:

Warning. Publishing unlawful content may result in criminal prosecution. The Publisher retains connection logs and may communicate identification information to judicial authorities upon requisition.

13Amendment of Terms

The Publisher reserves the right to amend these Terms at any time. Users will be informed of any substantial amendment by email or Platform notification, with a minimum 15-day notice period before the new provisions take effect.

Continued use of the Platform after new Terms take effect constitutes acceptance of them. If not accepted, the User must cease using the Platform and may request account deletion.

The provisions relating to the transfer of rights over videos (Article 5) cannot be amended retrospectively and apply permanently to videos already submitted.

14Applicable law and jurisdiction

These Terms are governed by French law.

In the event of a dispute relating to the interpretation or performance of these Terms, the parties undertake to seek an amicable resolution before resorting to legal proceedings.

Failing an amicable settlement, any dispute shall be subject to the exclusive jurisdiction of the courts of the Lyon Court of Appeal, subject to any mandatory consumer protection provisions to the contrary.

Under Article L.616-1 of the French Consumer Code, consumer Users may resort to a consumer mediator free of charge. The Publisher adheres to Online Mediation accessible via the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.
